These Partner Program Terms (the "Partner Terms") govern participation in Praisera's partner, referral, agency or affiliate program (the "Program").
The Program allows approved partners to recommend Praisera to their own clients and, where applicable, receive commissions for eligible subscriptions. These Partner Terms supplement, and do not replace, the Terms of Service, the Privacy Policy, the Data Processing Agreement where applicable, and the other applicable legal documents.
1. Acceptance
By requesting access to the Program, participating in it, using a referral code or link, promoting Praisera as a partner, or receiving commissions, the Partner accepts these Partner Terms.
If acting on behalf of a company, agency, studio, sole trader, organization or other entity, the person accepting these Partner Terms represents that they have authority to bind that entity.
2. Definitions
"Praisera" means Dmitry Museychuk, a sole trader established in Spain, operating commercially under the name "Praisera". Full legal details are available in the Legal Notice.
"Partner" means an agency, studio, consultant, freelancer, integrator or other collaborator approved by Praisera to participate in the Program in a professional or commercial capacity.
"Referred Customer" means a new customer that purchases a paid Praisera subscription using a code, link, coupon, form or other attribution mechanism approved by Praisera and assigned to the Partner.
"Eligible Subscription" means an active paid subscription of a Referred Customer that Praisera determines is eligible for commission under these Partner Terms.
"Eligible Net Revenue" means amounts actually received by Praisera for an Eligible Subscription, excluding free plans, free trials, taxes, VAT, fees, discounts, credits, refunds, chargebacks, unpaid amounts and amounts not finally received.
3. Eligibility and Approval
The Program is available only to Partners acting in a professional or commercial capacity. It is not directed to consumers.
The Partner must be at least 18 years old, have capacity to contract, provide accurate and up-to-date information, and comply with applicable law, including advertising, commercial communications, privacy, data protection, tax, sanctions and export-control rules.
Participation is subject to application and approval by Praisera. Praisera may approve, reject, limit, suspend or remove any Partner where it reasonably considers that the Partner's participation creates legal, tax, privacy, security, abuse, reputation, payment, sanctions, compliance or operational risk.
4. Program Model
The Program is not a resale, white-label, franchise, distribution, commercial agency, legal representation or multi-client account management program.
Unless otherwise agreed in advance in writing with Praisera:
- the Referred Customer must purchase Praisera in its own account and under its own workspace;
- the Referred Customer is the party that contracts for and pays for its Praisera subscription;
- the Partner must not resell, sublicense, lease, package, charge for, or maintain the Praisera subscription on behalf of the Referred Customer;
- the Partner must not imply that a multi-client console, white-label arrangement, reseller program or centralized administrative access exists if Praisera does not expressly provide that functionality;
- the Partner may not modify, accept, waive, promise, extend or negotiate terms, prices, discounts, warranties, service levels, obligations or commitments on behalf of Praisera.
The Partner may provide independent services to its own clients, such as consulting, implementation, design, configuration, widget integration, training or its own support. Those services are the Partner's sole responsibility and do not form part of the Praisera Service.
5. Referred Customer Authorization
The Partner may act on a Referred Customer's account, workspace, website, configuration, billing, integration or data only with valid authorization from that Referred Customer.
The Partner must not request, share or retain the Referred Customer's passwords. Where Praisera offers delegated access mechanisms, roles or permissions, the Partner must use them in accordance with the documentation and the Referred Customer's instructions.
The Partner must remove its access, scripts, integrations, credentials, permissions or installed materials when the Referred Customer requests it, when the Partner's relationship with the Referred Customer ends, or when there is no longer a valid basis to maintain them.
6. Non-Eligible Customers and Uses
The Partner's own accounts, entities controlled by the Partner, test accounts, fraudulent accounts, accounts created to manipulate commissions, accounts where the Partner is the paying party, existing Praisera customers, unapproved customers, payments not finally received and subscriptions excluded by Praisera do not generate commission.
The Partner must not promote, recommend, sell, implement or facilitate Praisera for customers, sectors, jurisdictions or uses prohibited or restricted by the Terms of Service, unless prior written approval from Praisera is required and has been obtained.
Praisera may exclude from commission any customer, subscription, payment, channel or activity that it reasonably considers non-eligible due to legal, commercial, tax, payment, abuse, fraud, sanctions, privacy, reputation or compliance risk.
7. Commissions
Unless Praisera agrees otherwise in writing, Praisera will pay the Partner a commission equal to thirty percent (30%) of the Eligible Net Revenue of each Eligible Subscription.
The commission accrues on a recurring basis, with no predetermined time limit, while the Referred Customer maintains an active and paid Eligible Subscription, Praisera has finally received the corresponding payment, the Partner complies with these Partner Terms, and the Program has not been modified or terminated with respect to future activity.
Refunds, chargebacks, credits, errors, adjustments, fraud, failed payments or amounts improperly paid may be deducted from current or future commissions, reclaimed from the Partner, or offset against pending balances.
8. Discount and Attribution
Unless Praisera indicates otherwise, Referred Customers may receive a twenty percent (20%) discount during their first three (3) months of paid subscription through the referral mechanism approved by Praisera.
Praisera may change, suspend, limit or withdraw discounts, promotions, codes, coupons or benefits with respect to future activity. The Partner must not promise discounts, prices, promotions, features or benefits that Praisera has not expressly approved or published.
Attribution is determined by Praisera's records and approved mechanisms. Praisera will resolve attribution disputes in good faith, and its determination will be final, except in cases of manifest error.
9. Payments
Praisera will pay commissions monthly when the Partner's available balance exceeds fifty euros (€50) or the equivalent in the payment currency supported by Praisera, unless otherwise agreed in writing.
Praisera may withhold payments for a reasonable period to detect refunds, chargebacks, fraud, failed payments, disputes, errors or breaches.
To receive payments, the Partner must provide payment details, identity, residence, tax information, forms, valid invoices or other information reasonably requested by Praisera or by the payment provider. The Partner is responsible for taxes, VAT, withholdings, filings, invoices, bank fees, currency conversion and payment-provider costs, unless the law provides otherwise.
10. Marketing, Advertising and Brand
The Partner must promote Praisera in a truthful, lawful, clear and non-misleading manner, and must clearly disclose its relationship with Praisera and the possible receipt of commission where required by law, by a platform, or where omission could be misleading.
The Partner must not send unsolicited commercial communications that breach applicable law, use scraping, purchased lists, bots or abusive automation, publish fake reviews, hide material conditions, make false or unsubstantiated claims about Praisera, claim that Praisera guarantees business results, SEO, sales, legal compliance or detection of all problematic content, or present reviews as verified unless Praisera expressly offers that functionality.
Praisera grants the Partner a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to use Praisera's name and logo solely to promote Praisera in accordance with these Partner Terms and Praisera's brand instructions.
The Partner must not register domains, trademarks, profiles, ads, keywords or identifiers containing or imitating Praisera, bid on Praisera trademarks or confusingly similar terms, modify logos, issue press releases without approval, or imply that it is Praisera, acts on behalf of Praisera, or is certified by Praisera beyond its approved participation in the Program.
Praisera may require the removal or correction of any material, campaign, advertisement, page, post, email, video, landing page, claim, brand use or reference to Praisera that it considers inaccurate, misleading, unauthorized, risky or incompatible with these Partner Terms.
11. Data Protection and Confidentiality
Each party acts as an independent controller with respect to the personal data it processes for its own purposes in connection with the Program, unless otherwise agreed in writing.
The Partner is responsible for lawfully processing the data of its customers, leads, contacts, employees, contractors and users; providing appropriate notices; obtaining valid legal bases or consents where necessary; complying with rules on commercial communications, cookies, tracking, advertising, privacy and data protection; and not sending Praisera sensitive data, data of minors, criminal-offence data, credentials, tokens, identity documents, unnecessary data or high-risk data as part of the Program.
Praisera will process contact, identity, payment, tax, communications, attribution, Program activity and records necessary to administer, protect, operate and enforce the Program, in accordance with the Privacy Policy.
The Partner is not Praisera's subprocessor, and Praisera is not the Partner's processor, merely by virtue of participating in the Program.
The Partner must keep confidential any non-public information received from Praisera about the Program, commissions, customers, roadmap, prices, discounts, metrics, incidents, security, integrations, internal documentation or commercial terms.
12. Monitoring and Measures
Praisera may review the Partner's participation, referrals, promotional materials, channels, payments, attribution, brand use and compliance with these Partner Terms.
The Partner must reasonably cooperate with requests relating to compliance, attribution, fraud, payments, tax, privacy, brand, complaints, commercial communications or claims.
Praisera may apply warnings, requests for removal or correction, code suspension, attribution blocking, payment withholding, commission reversal, exclusion of customers or subscriptions, removal from the Program or immediate termination where there is breach, serious risk, fraud, abuse, sanctions, a claim, legal non-compliance or harm to Praisera, Customers, Review Authors, visitors or third parties.
13. Term and Termination
The Partner's participation begins when Praisera approves its application and continues until either party terminates it.
Either party may terminate participation at any time. Upon termination, the Partner must stop promoting Praisera as an approved partner and stop using codes, links, coupons, brand materials or references to the Program.
No new commissions will accrue for activity after termination. Praisera will pay validly accrued commissions before termination according to the normal schedule, unless there is breach, fraud, abuse, chargeback, adjustment, error, pending investigation or a right of set-off. Praisera may cancel unpaid commissions where termination results from the Partner's breach or where the commissions are linked to non-eligible activity.
Sections that by their nature should survive will remain in effect, including pending payments, adjustments, taxes, data protection, confidentiality, brand use, liability, indemnity, governing law and conduct restrictions.
14. Changes
Praisera may update these Partner Terms or modify, suspend, limit or discontinue the Program, commissions, discounts, attribution mechanisms, materials, eligibility criteria, payment methods or benefits.
Where reasonably possible, Praisera will notify material changes by email, within the Service, through Program documentation or by other reasonable means.
Unless otherwise indicated, changes will apply to future activity, new referrals, new billing periods, new payments or participation after the change becomes effective. Changes will not affect commissions validly accrued before the effective date, except in cases of error, fraud, abuse, breach, chargeback, refund, adjustment or legal requirement.
Continued participation after changes become effective constitutes acceptance of the updated terms.
15. Disclaimers, Liability and Indemnity
The Program is provided "as is" and "as available". Praisera does not guarantee Partner approval, uninterrupted availability of the Program, generation of customers, revenue or commissions, retention of Referred Customers, absence of attribution errors, or continuity of discounts, commissions or features.
To the maximum extent permitted by law, Praisera will not be liable for indirect, incidental, special, consequential, punitive or similar damages, or for loss of profits, revenue, business, reputation, data, opportunities, expected savings or acquisition costs related to the Program.
Praisera's total aggregate liability under these Partner Terms will not exceed the greater of: (a) the commissions actually paid by Praisera to the Partner during the six (6) months before the event giving rise to the claim; or (b) one hundred euros (€100). Nothing limits liability where such limitation is not permitted by law.
The Partner will indemnify and hold Praisera harmless from third-party claims, damages, penalties, losses, liabilities, costs and expenses arising from the Partner's services, websites, campaigns, communications, materials, promises, business practices, legal non-compliance, misuse of brand, failure to disclose, personal data processed by the Partner, services provided to Referred Customers, actions in Referred Customer accounts or websites, fraud, attribution manipulation, non-eligible referrals, prohibited use of the Service facilitated by the Partner, or the Partner's tax obligations.
16. Relationship Between the Parties and Assignment
The Partner acts as an independent contractor. Nothing in these Partner Terms creates an employment, agency, representation, mandate, partnership, joint venture, franchise, exclusive distribution, reseller, fiduciary or similar relationship.
The Partner has no authority to bind Praisera, accept terms on behalf of Praisera, make legal statements, resolve claims, grant warranties, modify prices, offer unapproved discounts, collect payments for Praisera subscriptions, or assume obligations on behalf of Praisera.
The Partner may not assign, transfer or delegate its participation, codes, links, account, rights or obligations without Praisera's prior written consent. Praisera may assign or transfer these Partner Terms in connection with a reorganization, incorporation of a company, change of legal form, contribution or transfer of the business, asset sale, merger or similar transaction.
17. Governing Law, Language and Contact
These Partner Terms are governed by the laws of Spain, without prejudice to applicable mandatory rules. Where legally permitted, the courts and tribunals of Valencia, Spain, will have jurisdiction.
These Partner Terms may be available in Spanish, English and French. All three versions will be binding. In case of inconsistency, the English version will prevail, unless applicable law requires otherwise. If a version is unavailable or not up to date, the most recently published version identified by version number and effective date will prevail.
